Terms of Use
These Terms of Use govern access to StockBook, inventory and memorandum software owned by GridFlow Labs (“GridFlow Labs”, “we”, “us”). By signing in to or using StockBook, you agree to these terms on behalf of yourself and the customer organization that licensed the software (“Customer”).
1. The product
StockBook is a hosted web application for tracking inventory, receiving and returning goods, consignments, sales status, printable memos, and optional storefront sync (such as Shopify) where enabled. A Customer instance may display the Customer’s own branding; that does not transfer ownership of StockBook.
2. License — not a sale of software
Subject to a paid subscription or other written agreement with GridFlow Labs, Customer receives a limited, non-exclusive, non-transferable license to use StockBook for its internal business operations. GridFlow Labs retains all intellectual property rights in StockBook, including code, design, documentation, and trademarks related to the product.
Customer does not receive source code, redistribution rights, or the right to resell StockBook unless a separate written agreement expressly grants them.
3. Customer data
Customer retains ownership of its business data entered into StockBook (inventory, parties, photos, memos, and related records). Customer is responsible for the accuracy of that data and for authorizing who may access the instance.
4. Accounts and acceptable use
- Keep login credentials confidential; do not share accounts outside authorized staff.
- Do not attempt to break security, scrape the service abusively, or reverse engineer StockBook.
- Do not use StockBook for unlawful activity or to store data you have no right to process.
5. Integrations
Optional connections (for example Shopify or email delivery) use Customer-supplied credentials and settings. Customer is responsible for those third-party accounts and for reviewing what data is synced.
6. Support and changes
Support, training, and maintenance are provided as described in Customer’s order or subscription (for example Host + Care). GridFlow Labs may update StockBook to improve security and features; material changes to these Terms will be reflected by updating the date above and, where practical, notice to the Customer administrator.
7. Disclaimer
StockBook is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, GridFlow Labs disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. The software assists inventory operations; Customer remains responsible for business decisions, physical stock, and compliance with its own vendor agreements.
8. Limitation of liability
To the fullest extent permitted by law, GridFlow Labs’ total liability arising out of StockBook shall not exceed the fees paid by Customer to GridFlow Labs for StockBook in the twelve (12) months before the claim. GridFlow Labs is not liable for lost profits, lost data (except where caused by our willful misconduct), or indirect or consequential damages.
9. Term and termination
Access continues for the subscription term. Upon termination, Customer’s license ends. GridFlow Labs may disable access for non-payment or material breach. Reasonable assistance exporting Customer data may be available as a wind-down service if agreed in writing.
